Terms of Service

These Terms and Conditions ("Terms") govern your access to and use of the FlightStratix platform, website, and related services (the "Service"). By creating an account, clicking "I Agree", or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
"You" refers to the individual or entity creating the account. If you are accepting on behalf of a company or organisation, you represent that you have the authority to bind that entity to these Terms.
1. Definitions
- "Account" means your registered account on the Service.
- "Authorised Users" means individuals you permit to access the Service under your Account.
- "Content" means all data, information, text, files, and materials you or your Authorised Users upload, input, or store on the Service.
- "Service" means the FlightStratix cloud-based software platform, including all features, modules, tools, APIs, documentation, updates, and related services.
- "Subscription" means your paid plan for access to the Service, whether monthly or annual.
- "We", "us", "our" refers to FlightStratix.
2. Account Registration
To use the Service, you must create an Account by providing accurate, complete, and current information. You agree to update your information promptly if it changes.
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account. You must notify us immediately of any unauthorised access.
We reserve the right to suspend or terminate any Account that we reasonably believe has been compromised, is being used fraudulently, or violates these Terms. You must be at least 18 years old to create an Account.
3. The Service
FlightStratix provides a cloud-based aviation software platform covering flight planning, crew scheduling, maintenance tracking, operations management, and related aviation solutions. The specific features available to you depend on your Subscription plan.
The Service is provided on an "as available" basis. We strive for high availability but do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance with reasonable advance notice where practicable.
We reserve the right to modify, update, add, or remove features of the Service at any time. If a change materially reduces the core functionality of your current Subscription plan, we will provide at least thirty (30) days' notice.
4. Subscriptions, Pricing, and Payment
Access to the Service requires a paid Subscription. We offer monthly and annual Subscription plans as described on our pricing page. All prices are exclusive of applicable taxes unless stated otherwise. You are responsible for all applicable taxes.
We reserve the right to change our prices at any time. Price changes will take effect:
- For monthly Subscriptions: at the start of the next billing cycle following at least thirty (30) days' notice
- For annual Subscriptions: at the start of the next renewal period following at least sixty (60) days' notice
If you do not agree with a price increase, your sole remedy is to cancel your Subscription before the new price takes effect. Continued use after the effective date constitutes acceptance of the new pricing.
Payment is due in advance. Monthly Subscriptions are billed on the same date each month. Annual Subscriptions are billed on the anniversary of your start date.
If payment fails, we will notify you and provide a grace period of seven (7) days to update your payment method. If payment is not received within the grace period, we may suspend or restrict your access to the Service. Suspension does not relieve you of the obligation to pay outstanding amounts.
All fees are non-refundable, except as expressly stated in these Terms or as required by applicable law. For annual Subscriptions cancelled mid-term, no pro-rata refund will be issued unless required by law.
We may offer free trials or promotional pricing at our discretion. Free trial terms will be specified at the time of offering. At the end of a free trial, your Subscription will automatically convert to a paid plan unless you cancel before the trial ends.
5. Your Content and Data
You retain all ownership rights in your Content. We do not claim ownership of any data you upload or input into the Service.
You grant us a limited, non-exclusive, worldwide licence to host, store, process, display, and transmit your Content solely for the purpose of providing, maintaining, and improving the Service. This licence terminates when you delete your Content or close your Account.
You are solely responsible for the accuracy, quality, legality, and appropriateness of your Content. You represent and warrant that you have all necessary rights and permissions to upload your Content and that it does not infringe any third-party rights.
We may access your Content only as necessary to provide the Service, provide support at your request, comply with legal obligations, or enforce these Terms. We are not responsible for any loss, corruption, or deletion of your Content. You are responsible for maintaining your own backups.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Upload or transmit any malicious code, viruses, or harmful software
- Attempt to gain unauthorised access to the Service, other accounts, or any systems or networks connected to the Service
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
- Copy, modify, distribute, sell, lease, sublicense, or create derivative works based on the Service
- Use the Service to compete with FlightStratix or to build a competing product or service
- Use automated means (bots, scrapers, crawlers) to access the Service without our prior written consent
- Interfere with or disrupt the integrity or performance of the Service
- Share your Account credentials with anyone outside your organisation or exceed your Authorised User limit
- Use the Service in any way that could damage our reputation or goodwill
- Resell, redistribute, or make the Service available to third parties without our prior written consent
We may investigate and take any action we deem appropriate in response to violations, including suspension or termination of your Account.
7. Intellectual Property
The Service, including all software, code, algorithms, designs, user interfaces, visual elements, workflows, and features, is the exclusive property of FlightStratix and is protected by copyright, trade dress, and other intellectual property laws. Unauthorised copying, reproduction, or imitation of the Service's design or functionality — whether in whole or in part — constitutes infringement and will be pursued to the fullest extent of the law, including civil litigation and claims for damages.
You shall not remove, alter, or obscure any copyright, trademark, or other proprietary notices on the Service. Any feedback, suggestions, ideas, or improvements you provide to us regarding the Service shall become our exclusive property. You hereby assign to us all rights in such feedback without any obligation of compensation or attribution.
8. Confidentiality
Each party agrees to keep confidential any non-public information received from the other party in connection with the Service, including business plans, technical data, pricing, and customer information.
This obligation does not apply to information that: (a) is or becomes publicly available without breach; (b) was already known to the receiving party; (c) is independently developed; or (d) is required to be disclosed by law.
9. Third-Party Services and Integrations
The Service may integrate with or link to third-party services. Your use of such services is governed by their own terms and privacy policies. We are not responsible for third-party services and make no warranties about them. We may add, modify, or remove integrations at any time.
10. Service Availability and Support
We aim to maintain high availability of the Service but do not guarantee any specific uptime percentage unless agreed in a separate Service Level Agreement (SLA). We may temporarily suspend access for maintenance, updates, or security reasons and will endeavour to provide advance notice where practicable. Customer support response times depend on your Subscription plan.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT IT WILL MEET YOUR SPECIFIC REQUIREMENTS.
THE SERVICE IS NOT INTENDED TO REPLACE PROFESSIONAL AVIATION JUDGMENT. YOU ARE SOLELY RESPONSIBLE FOR ALL OPERATIONAL DECISIONS MADE USING THE SERVICE. FLIGHTSTRATIX SHALL NOT BE LIABLE FOR ANY DECISIONS, ACTIONS, OR OUTCOMES RESULTING FROM YOUR USE OF OR RELIANCE ON THE SERVICE IN AVIATION OPERATIONS.
YOU ACKNOWLEDGE THAT AVIATION IS A SAFETY-CRITICAL INDUSTRY AND THAT YOU MUST INDEPENDENTLY VERIFY ALL DATA, CALCULATIONS, AND OUTPUTS FROM THE SERVICE BEFORE RELYING ON THEM FOR ANY OPERATIONAL PURPOSE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FLIGHTSTRATIX, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Any loss of profits, revenue, data, business opportunities, goodwill, or anticipated savings
- Any damages arising from your use of or inability to use the Service
- Any damages arising from unauthorised access to or alteration of your data
- Any damages arising from any aviation incident, accident, operational decision, or regulatory action related to or resulting from your use of the Service
- Any damages exceeding the total amount paid by you to FlightStratix in the twelve (12) months immediately preceding the event giving rise to the claim
These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages. Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by applicable law.
13. Indemnification
You agree to indemnify, defend, and hold harmless FlightStratix, its affiliates, and their respective directors, officers, employees, and agents from and against all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Your breach of these Terms
- Your Content or any data you upload to the Service
- Your violation of any applicable law or regulation
- Any claim by a third party related to your use of the Service
- Any operational decision, action, or omission made by you or your Authorised Users based on or related to the Service
14. Termination
You may cancel your Subscription at any time through your Account settings. Cancellation takes effect at the end of the current billing period and you will continue to have access until then.
We may suspend or terminate your access immediately without notice if: (a) you breach these Terms; (b) your payment is overdue beyond the grace period; (c) we are required to do so by law or regulatory order; (d) your use poses a security risk; or (e) your Account has been inactive for more than twelve (12) consecutive months.
We may discontinue the Service entirely by providing at least ninety (90) days' notice, in which case we will provide a pro-rata refund for any prepaid and unused portion of annual Subscriptions.
Upon termination:
- Your right to use the Service ceases immediately
- We will make your Content available for export for thirty (30) days after termination, after which we may permanently delete it
- All provisions that by their nature should survive termination shall survive, including intellectual property, confidentiality, limitation of liability, indemnification, and governing law
15. Modifications to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service at least thirty (30) days before they take effect. Continued use of the Service after the effective date constitutes acceptance. If you do not agree, you must stop using the Service and cancel your Subscription before the changes take effect. Non-material changes (e.g., formatting, clarifications) may be made without advance notice.
16. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or relating to these Terms shall be resolved first through good faith negotiation for thirty (30) days, and if unresolved, submitted to the exclusive jurisdiction of the courts of England and Wales.
17. General Provisions
- Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and FlightStratix regarding the Service.
- Severability. If any provision is held invalid or unenforceable, the remaining provisions continue in full force.
- Waiver. Failure to enforce any provision does not constitute a waiver of that provision.
- Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to any affiliate or successor.
- Force Majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, pandemics, war, government actions, or infrastructure failures.
- No Agency. Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and FlightStratix.
- Export Compliance. You shall comply with all applicable export control and sanctions laws and regulations in your use of the Service.
- Notices. We may send notices to the email address associated with your Account.
