Introduction

These Terms and Conditions govern your access to and use of the FlightStratix platform, website, and related services (the Service). By creating an account, clicking I Agree, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. You refers to the individual or entity creating the account. If you are accepting on behalf of a company or organisation, you represent that you have the authority to bind that entity to these Terms.

1. Definitions

AccountYour registered account on the Service.
Authorised UsersIndividuals you permit to access the Service under your Account.
ContentAll data, information, text, files, and materials you or your Authorised Users upload, input, or store on the Service.
ServiceThe FlightStratix cloud-based software platform, including all features, modules, tools, APIs, documentation, updates, and related services.
SubscriptionYour paid plan for access to the Service, whether monthly or annual.
We / us / ourRefers to FlightStratix.

2. Account Registration

To use the Service, you must create an Account by providing accurate, complete, and current information. You agree to update your information promptly if it changes. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account. You must notify us immediately of any unauthorised access. We reserve the right to suspend or terminate any Account that we reasonably believe has been compromised, is being used fraudulently, or violates these Terms. You must be at least 18 years old to create an Account.

3. The Service

FlightStratix provides a cloud-based aviation software platform covering flight planning, crew scheduling, maintenance tracking, operations management, and related aviation solutions. The specific features available to you depend on your Subscription plan. The Service is provided on an as-available basis. We strive for high availability but do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance with reasonable advance notice where practicable. We reserve the right to modify, update, add, or remove features of the Service at any time. If a change materially reduces the core functionality of your current Subscription plan, we will provide at least thirty (30) days notice.

4. Subscriptions, Pricing & Payment

Access to the Service requires a paid Subscription. All prices are exclusive of applicable taxes unless stated otherwise. You are responsible for all applicable taxes. We reserve the right to change our prices at any time -- for monthly Subscriptions, changes take effect at the start of the next billing cycle following at least thirty (30) days notice; for annual Subscriptions, at the start of the next renewal period following at least sixty (60) days notice. Payment is due in advance. If payment fails, we will provide a grace period of seven (7) days to update your payment method. All fees are non-refundable except as required by applicable law. Free trials automatically convert to paid plans unless you cancel before the trial ends.

5. Your Content & Data

You retain all ownership rights in your Content. We do not claim ownership of any data you upload or input into the Service. You grant us a limited, non-exclusive, worldwide licence to host, store, process, display, and transmit your Content solely for the purpose of providing and improving the Service. You are solely responsible for the accuracy, quality, legality, and appropriateness of your Content. We are not responsible for any loss, corruption, or deletion of your Content. You are responsible for maintaining your own backups.

6. Acceptable Use

You agree not to use the Service for any unlawful purpose; upload malicious code or harmful software; attempt to gain unauthorised access to the Service or other systems; reverse engineer or decompile the Service; copy, sell, or sublicense the Service; use the Service to compete with FlightStratix; use automated means to access the Service without our prior written consent; interfere with the integrity or performance of the Service; share credentials outside your organisation; or resell the Service to third parties without our prior written consent.

7. Intellectual Property

The Service, including all software, code, algorithms, designs, user interfaces, and features, is the exclusive property of FlightStratix and is protected by copyright, trade dress, and other intellectual property laws. Unauthorised copying, reproduction, or imitation constitutes infringement and will be pursued to the fullest extent of the law. Any feedback or suggestions you provide to us regarding the Service shall become our exclusive property.

8. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party in connection with the Service, including business plans, technical data, pricing, and customer information. This obligation does not apply to information that is or becomes publicly available without breach, was already known to the receiving party, is independently developed, or is required to be disclosed by law.

9. Third-Party Services & Integrations

The Service may integrate with or link to third-party services. Your use of such services is governed by their own terms and privacy policies. We are not responsible for third-party services and make no warranties about them. We may add, modify, or remove integrations at any time.

10. Service Availability & Support

We aim to maintain high availability of the Service but do not guarantee any specific uptime percentage unless agreed in a separate Service Level Agreement. We may temporarily suspend access for maintenance, updates, or security reasons and will endeavour to provide advance notice where practicable. Customer support response times depend on your Subscription plan.

11. Disclaimers

THE SERVICE IS PROVIDED AS IS AND AS AVAILABLE WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. THE SERVICE IS NOT INTENDED TO REPLACE PROFESSIONAL AVIATION JUDGMENT. YOU ARE SOLELY RESPONSIBLE FOR ALL OPERATIONAL DECISIONS MADE USING THE SERVICE AND MUST INDEPENDENTLY VERIFY ALL DATA, CALCULATIONS, AND OUTPUTS BEFORE RELYING ON THEM FOR ANY OPERATIONAL PURPOSE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLIGHTSTRATIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL; DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE; OR DAMAGES ARISING FROM ANY AVIATION INCIDENT OR OPERATIONAL DECISION RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless FlightStratix and its affiliates from and against all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, your Content, your violation of any applicable law, or any operational decision made by you or your Authorised Users based on or related to the Service.

14. Termination

You may cancel your Subscription at any time through your Account settings; cancellation takes effect at the end of the current billing period. We may suspend or terminate your access immediately if you breach these Terms, your payment is overdue beyond the grace period, we are required to do so by law, your use poses a security risk, or your Account has been inactive for more than twelve (12) consecutive months. Upon termination, your Content will be available for export for thirty (30) days, after which it may be permanently deleted.

15. Modifications to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service at least thirty (30) days before they take effect. Continued use of the Service after the effective date constitutes acceptance. Non-material changes may be made without advance notice.

16. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or relating to these Terms shall be resolved first through good faith negotiation for thirty (30) days, and if unresolved, submitted to the exclusive jurisdiction of the courts of England and Wales.

17. General Provisions

Entire AgreementThese Terms, together with the Privacy Policy, constitute the entire agreement between you and FlightStratix regarding the Service.
SeverabilityIf any provision is held invalid or unenforceable, the remaining provisions continue in full force.
WaiverFailure to enforce any provision does not constitute a waiver of that provision.
AssignmentYou may not assign or transfer these Terms without our prior written consent. We may assign these Terms to any affiliate or successor.
Force MajeureWe are not liable for any failure or delay caused by events beyond our reasonable control.
No AgencyNothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and FlightStratix.
Export ComplianceYou shall comply with all applicable export control and sanctions laws and regulations in your use of the Service.
